Agreement and authority
By accessing or using the website or portal, you agree to these Terms of Use. If you use the portal for a company or organization, you represent that you are authorized to act for that organization. If you do not agree, do not use the portal.
Relationship to service agreements
These terms govern use of the website and portal. Prices, service levels, payment terms, warranties, contract coverage, project requirements, and other customer-specific obligations are governed by the applicable proposal, work authorization, managed-service agreement, invoice, or other written agreement.
If these terms conflict with an existing signed customer agreement, the signed customer agreement controls for that conflict. These terms do not alter an existing signed agreement.
Authorized access and account security
You may use the portal only for legitimate business purposes and only through an account you are authorized to use. You agree to provide accurate account information, protect your password and authentication devices, complete multi-factor authentication when required, avoid sharing accounts or security codes, and promptly report suspected unauthorized access.
You must notify Revv Tech when a user's access should be changed or removed. You are responsible for activity performed through your account unless it was caused by Revv Tech's failure to use reasonable security safeguards.
Acceptable use
You may not:
- Access another customer's information or attempt to bypass permissions.
- Probe, disrupt, overload, reverse engineer, or interfere with the website, portal, or related services.
- Upload malicious code or unlawful, infringing, deceptive, or harmful material.
- Use the portal to transmit passwords, payment-card information, encryption keys, patient information, or unrelated highly sensitive information.
- Use automated access except through an interface or integration expressly authorized by Revv Tech.
- Misrepresent your identity, organization, or authority.
Service records and customer content
Customers retain ownership of the business information and content they provide. Customers grant Revv Tech a limited right to host, process, reproduce, transmit, and back up that content as needed to provide, secure, support, bill for, and document the services.
Customers are responsible for ensuring they have authority to provide information about their employees, contacts, locations, equipment, and operations.
Work orders may contain customer-visible information and private internal operational notes. Private internal notes are not part of the customer-facing service record unless Revv Tech expressly releases them.
Billing and service statements
The portal may show billable work, contract-covered work, courtesy or promotional work, and internal non-billable work. A zero-dollar service statement or invoice documents services performed and does not necessarily mean that the service had no value. It may indicate that the work was covered by contract, provided as a courtesy, or included in a promotion.
Invoices, credits, payment terms, taxes, and amounts due remain subject to the applicable customer agreement and authoritative accounting records.
QuickBooks integration
An authorized administrator may connect the portal to Intuit QuickBooks. When enabled and separately authorized, the integration may read approved QuickBooks customers, products and services, tax configuration, terms, invoices, and accounting Payment records; create invoices from reviewed Revv Tech billing packages; and synchronize invoice, balance, payment, void, delivery, and reconciliation status.
The portal does not itself process payment cards or ACH transactions and does not provide banking, tax, legal, or accounting advice. QuickBooks remains authoritative for accounting records stored there.
Disconnecting QuickBooks stops future portal access and retires stored OAuth tokens. It does not delete transactions already created in QuickBooks or erase portal audit, reconciliation, mapping, or service history that Revv Tech must retain. Use of QuickBooks is also subject to Intuit's terms and privacy practices.
Communications
You authorize Revv Tech to send operational communications reasonably related to service requests, assignments, service completion, statements, invoices, security, and account administration. These transactional communications are not marketing messages. You are responsible for maintaining accurate authorized contact addresses.
Third-party services
The website and portal rely on third-party hosting, database, authentication, email, accounting, security, and backup services. Those services may be governed by their own terms and may experience interruptions outside Revv Tech's control.
Revv Tech is not responsible for a third-party provider's independent acts, but we use reasonable care in selecting, configuring, and managing providers within our control.
Availability and changes
We work to keep the portal available and secure, but uninterrupted or error-free operation is not guaranteed. Maintenance, emergency security work, internet failures, provider outages, or events outside our control may temporarily affect availability.
We may update portal features when reasonably necessary for security, reliability, legal compliance, or service improvement. We will not intentionally use a portal update to change a signed customer agreement without appropriate agreement from the customer.
The portal is not an emergency-response service. For urgent matters, call (801) 880-9008 and follow any emergency procedures in the applicable service agreement.
Suspension, termination, and records
We may restrict or suspend access when reasonably necessary to address a security threat, unlawful activity, misuse, nonpayment under an applicable agreement, or risk to another customer or system.
When service or portal access ends, Revv Tech may retain or provide eligible records according to the customer agreement, applicable law, accounting requirements, security needs, and our Privacy Policy.
Intellectual property
Revv Tech retains its rights in the website, portal software, branding, documentation, workflows, and materials it creates, excluding customer content and third-party materials. These terms provide a limited, revocable right to use the portal for its intended business purpose and do not transfer ownership of Revv Tech intellectual property.
Disclaimers
Except for warranties expressly stated in a signed agreement, the website and portal are provided on an "as available" basis. To the extent permitted by law, Revv Tech disclaims implied warranties of merchantability, fitness for a particular purpose, and noninfringement. Nothing in these terms limits obligations that cannot legally be limited.
Limitation of liability
To the extent permitted by law and except where a signed agreement provides otherwise, neither party will be liable for indirect, incidental, special, punitive, or consequential damages arising from use of the website or portal.
Revv Tech's aggregate liability arising from the website or portal will not exceed the fees paid to Revv Tech for the affected service during the 12 months preceding the event giving rise to the claim. This limitation does not apply where prohibited by law or to liability arising from fraud, willful misconduct, or obligations that cannot legally be limited.
Indemnification
To the extent permitted by law, you agree to defend and indemnify Revv Tech from third-party claims caused by information you were not authorized to provide, unlawful use of the portal, or your material violation of these terms.
Governing law
These terms are governed by Utah law, without regard to conflict-of-law principles. Subject to any dispute procedure in a signed agreement, disputes will be brought in the state or federal courts serving Tooele County, Utah.
Changes to these terms
We may update these terms when our services or legal obligations change. The revised version will identify its effective date. Material changes will receive additional notice when appropriate. Continued use after an updated effective date constitutes acceptance to the extent permitted by law.
